UpBusiness is a trust-first B2B services discovery platform. The platform helps businesses:

• Discover and compare partner companies
• Evaluate companies using TrustScore, reviews, and AI systems
• Shortlist and contact companies
• Explore company profiles and portfolios

UpBusiness is strictly a discovery and visibility platform only. UpBusiness does not act as an employer, recruitment agency, or broker, participate in contracts between users, process payments between users, or guarantee project outcomes, service quality, lead quality, client acquisition, revenue, conversions, or vendor reliability.

• Browse, search, and compare companies
• Save shortlists and submit reviews
• Contact companies and create buyer accounts
• Access personalized features (login required)

• Create company accounts and apply for listing
• Upload portfolio content and receive buyer inquiries
• Purchase premium visibility and sponsored placements
• Access analytics and dashboards

By using UpBusiness, users represent and warrant that:

• Information submitted is accurate
• They possess authority to act on behalf of the represented company
• They will comply with applicable laws and not use the platform unlawfully
• They are legally capable of entering binding agreements

If users access UpBusiness on behalf of an organization, they represent they possess authority to bind such organization to these Terms.

Users creating accounts must provide accurate and complete information. Users are solely responsible for maintaining account confidentiality, protecting passwords and credentials, all activities occurring under their account, updating inaccurate information, and securing account access.

• UpBusiness reserves the right to refuse, reject, suspend, restrict, or permanently terminate accounts
• Users must immediately notify UpBusiness regarding unauthorized access or suspicious activity

UpBusiness may request verification information including incorporation certificates, GST details, Aadhaar verification through DigiLocker, business proof documents, portfolio proof, and identity verification information. Verification may involve automated systems, AI systems, manual moderation, third-party systems, and internal integrity systems.

Verification does not constitute government approval, legal certification, financial certification, compliance certification, service quality guarantee, or future reliability guarantee. Users acknowledge that no verification system can eliminate all risks.

UpBusiness operates a proprietary TrustScore system. TrustScore may include verification score, performance score, review signals, profile quality signals, integrity signals, platform activity signals, AI evaluation signals, and internal moderation signals.

UpBusiness reserves the right to modify scoring systems, add or remove scoring factors, recalculate TrustScores, adjust visibility, modify rankings, and introduce new scoring systems. TrustScore is informational only. Users remain solely responsible for conducting independent due diligence.

UpBusiness may display companies across visibility tiers including Leadership Positions, Premium Verified Profiles, and Verified Profiles. Leadership Positions may include sponsored placements.

Rankings and visibility may depend on TrustScore, sponsorship status, profile quality, buyer engagement, AI systems, search relevance, platform activity, and internal ranking methodologies. UpBusiness reserves full discretion regarding all search rankings, featured visibility, recommendations, and sponsored placements.

Only logged-in buyer accounts may submit reviews. Users submitting reviews represent that reviews reflect genuine experiences, are accurate, are not misleading or manipulated, and do not violate third-party rights.

• UpBusiness reserves full discretion to moderate, edit, or remove reviews
• Manipulation may result in ranking penalties, account suspension, or permanent bans
• Reviews may contain opinions and inaccuracies and are not guarantees
• Reviews should not solely determine business decisions

UpBusiness may use artificial intelligence systems, machine learning systems, recommendation systems, automated moderation systems, behavioral analysis systems, matching systems, and search systems.

AI-generated outputs may include inaccuracies, incomplete information, interpretation limitations, incorrect recommendations, hallucinations, and technical inconsistencies. UpBusiness does not guarantee accuracy, completeness, commercial fit, recommendation quality, vendor suitability, or business outcomes. Users remain solely responsible for all business decisions.

UpBusiness does not provide legal advice, financial advice, tax advice, hiring advice, compliance advice, investment advice, operational advice, or professional consulting advice. All platform information is provided strictly for informational purposes.

Users may upload logos, images, videos, PDFs, case studies, portfolio content, reviews, and company information. Users represent and warrant that they own or possess rights to uploaded content, and that all content is lawful, accurate, and does not infringe third-party rights.

Partner companies remain fully responsible for portfolio claims, client logos, client references, uploaded materials, and business representations. UpBusiness may remove content, restrict visibility, suspend accounts, permanently ban users, or cooperate with authorities where complaints or violations arise.

By uploading content, users grant UpBusiness a worldwide, perpetual, irrevocable, royalty-free, transferable, sublicensable, non-exclusive license to:

• Host, display, publish, copy, reproduce, and index content
• Reformat and promote content
• Use content in AI systems and analytics systems
• Use content in marketing materials and social media promotions

Public company information may appear publicly on UpBusiness, be indexed by search engines, appear in AI search systems and recommendation engines, and be surfaced through discovery systems.

UpBusiness reserves the right to modify features, change ranking systems, change TrustScore methodologies, introduce APIs, introduce integrations, introduce transaction systems, introduce anti-circumvention protections, conduct experiments and A/B testing, and add or remove services without prior notice.

UpBusiness does not guarantee uninterrupted availability. The platform may experience maintenance periods, AWS outages, internet disruptions, technical failures, bugs, delays, security incidents, and data inconsistencies. UpBusiness is not liable for losses arising from such interruptions.

Users must not:

• Submit fake information or upload fake documents
• Manipulate reviews or purchase fake reviews
• Upload stolen portfolio work or misrepresent services
• Create duplicate company profiles
• Spam or harass users
• Scrape platform data or use bots and crawlers
• Attempt unauthorized access
• Upload unlawful content or malicious software

UpBusiness reserves full enforcement rights.

Users may not scrape platform data, copy rankings, extract datasets, build competing databases, or use automated extraction systems. Unauthorized scraping may result in legal action, permanent bans, financial claims, and injunctive relief.

UpBusiness reserves full discretion to reject listings, remove profiles, restrict visibility, adjust rankings, remove reviews, restrict features, suspend accounts, permanently ban users, and remove sponsorships or premium badges where fraud, manipulation, policy violations, or integrity concerns are detected.

Partner company profiles belong to the represented organization. If an employee leaves the organization, ownership remains with the company, the company must assign a new representative, and UpBusiness may request proof of authority.

UpBusiness is not responsible for buyer or partner company conduct, payments, contracts, deliverables, fraud, misconduct, service quality, commercial disputes, or project outcomes. Any engagement formed through the platform exists independently of UpBusiness.

Users agree to indemnify and hold harmless UpBusiness, its founders, employees, affiliates, contractors, and representatives against claims arising from:

• User conduct and uploaded content
• Review disputes and misrepresentation
• Fraudulent activity and intellectual property violations
• Commercial engagements, platform misuse, and policy violations

Premium profiles, sponsored placements, and related services are subscription-based offerings.

• All purchases are non-refundable
• Pricing remains valid during the purchased duration
• Future pricing may change
• Features and visibility systems may evolve
• Sponsorships may be removed where fraud or manipulation is detected

Any dispute arising out of UpBusiness shall first be resolved through confidential arbitration under applicable Indian laws. Users agree to resolve disputes individually, waive class action rights, waive collective proceedings, and waive representative actions. Nothing prevents UpBusiness from seeking injunctive relief where necessary.

Users acknowledge that electronic acceptance is legally binding, checkbox acceptance constitutes valid consent, and digital records may be used as evidence. UpBusiness may store timestamps, IP addresses, and acceptance logs.

These Terms constitute the complete agreement between users and UpBusiness relating to platform usage. If any provision is deemed unenforceable, remaining provisions shall continue in full effect.
